How to migrate your cap table from Carta to Glide Equity

Export the five required Carta Excel reports, upload them to Glide Equity, resolve reconciliation errors, confirm legal terms, and invite stakeholders safely.

Export five unmodified XLSX reports from the same company and as-of date in Carta, then upload all five together in Glide Equity. Glide reconciles the reports before creating the workspace, rejects mismatches without partial writes, and preserves the source workbooks for auditability.

Before you export anything from Carta

Carta says company reports are regenerated from near-real-time cap-table activity. Treat the five files as one coordinated snapshot: finish pending corrections first, choose a single as-of date, and generate the whole bundle in one session. If someone issues, cancels, exercises, or edits a security between exports, the reports may describe different states and Glide will stop the migration.

  • Confirm you selected the correct company in Carta, especially if your login administers multiple entities.
  • Use an administrator or other role that can access Essentials and Run Reports.
  • Choose the current date unless you intentionally need a historical opening snapshot.
  • Leave draft securities out of the cap-table export. Migrate finalized records, then recreate or issue unfinished drafts in Glide after the workspace is ready.
  • Create a new local folder for the five downloads so older exports cannot be selected accidentally.
  • Confirm each original XLSX file is no larger than 10 MB. If a legitimate export exceeds that limit, contact Glide instead of splitting or modifying it.

Carta normally prefixes each filename with the company name and report date. Keep that original filename.

Export the reports from Carta

Carta export checklist

Carta wording can vary slightly by company type and account. Its current help center places company reports under Essentials → Run Reports; OCX is also listed in the Capitalization report group.

  1. Open the correct company

    Sign in to Carta, switch to the company you are migrating, and verify the legal company name shown in the account.

  2. Open company reports

    Navigate to Essentials → Run Reports. In some Carta layouts you can also start the cap-table export from Essentials → View cap table and choose Export.

  3. Export the cap-table workbook

    Choose Cap Table. Set the agreed as-of date and include the Summary, Intermediate, and Detailed worksheet tabs. Download the generated report as XLSX.

    Do not enable Include Draft Securities for the migration bundle.

  4. Export Stakeholder Details

    Return to Run Reports, generate Stakeholder Details for the same company and as-of date, and download the XLSX file.

  5. Export All Stakeholders Ledger

    Generate the All Stakeholders Ledger report for the same snapshot and download it without changing the filename or workbook.

  6. Export Securities Ledger

    Generate the Securities Ledger for the same snapshot. Keep its Data Warnings worksheet intact; Glide reads warnings as part of the source evidence.

  7. Export OCX

    Find Open Cap Table Excel Standard (OCX) in the report list or Capitalization group, generate it for the same company and date, and download the XLSX.

  8. Check the folder before leaving Carta

    Confirm the folder contains exactly one current copy of each required workbook. Open files only to inspect them; if Excel offers to repair or resave one, cancel and download a fresh copy instead.

Carta notes that some accounts use “shares” where others use “certificates.” That wording difference does not change the Glide process. What matters is selecting the five named reports and preserving their workbook structure.

Upload the five files to Glide Equity

Glide upload and verification

  1. Open Equity for the organization

    Sign in to Glide, select the organization that owns the cap table, and open Equity. Only an authorized organization admin can create or migrate the workspace.

  2. Choose Migrate from Carta

    On the Equity setup screen, select Migrate from Carta, then choose all five exports from the folder you prepared.

  3. Confirm all five slots are ready

    Glide identifies the Summary cap table, Stakeholder Details, All Stakeholders Ledger, Securities Ledger, and OCX files by their original filenames. The migration button remains unavailable until all five are present.

  4. Select Verify and migrate

    Glide validates workbook structure and size, then reconciles the company, date, holders, securities, share classes, stock plans, quantities, exact decimals, cash, and fully diluted totals.

  5. Fix source errors, not exported spreadsheets

    If Glide rejects the bundle, use the exact error to find the conflicting record in Carta. Correct Carta, regenerate all five files for one date, and retry. A failed attempt creates no partial Equity workspace.

  6. Continue to Equity

    After the bundle reconciles, Glide creates the organization-scoped Equity workspace and preserves the source workbooks privately for audit and traceability.

What Glide checks before it creates the workspace

  • Exactly five XLSX workbooks are present, one for each required report type.
  • Every workbook belongs to the same company and uses the same as-of date.
  • Required worksheets, columns, and authoritative numeric cells are present.
  • Stakeholder IDs, names, and security-holder relationships agree across reports.
  • Issued, outstanding, forfeited, vested, unvested, exercised, expired, cancelled, converted, and repurchased quantities remain internally valid.
  • Share-class totals, equity-plan reserves, award balances, and fully diluted capitalization reconcile across the cap table, ledger, and OCX views.
  • Prices and cash values retain the exact decimal values written into the XLSX files rather than being rounded through ordinary spreadsheet-number conversion.
  • Source files stay within safe compressed, expanded, worksheet, row, and cell limits.

This strictness is intentional. A cap-table migration should not “mostly import” and leave an administrator to discover missing shares later. Glide either proves the bundle agrees and commits the workspace atomically, or leaves the organization unchanged and explains what failed.

Cap-table reports prove balances and relationships, but they are not a substitute for the charter, board approvals, equity-plan documents, grant agreements, or legal advice. Some governing terms are not authoritative fields in the five reporting workbooks. Glide highlights those terms for confirmation instead of inventing legal facts.

  • Compare each share class against the charter: authorized amount, par value, voting rights, and conversion ratio.
  • Compare each equity plan against its approved plan document and board consents: reserve, underlying class, and cancellation or return-to-pool behavior.
  • Review any imported Carta Data Warnings and resolve the underlying record or formally acknowledge the issue.
  • Spot-check the largest stakeholders and every unusual security before recording new transactions.
  • Keep independent copies of governing documents and the original five exports according to your company’s retention policy.

Invite stakeholders after verification

Once the workspace is ready, an Equity admin can open Stakeholders and send email invitations. Each recipient accepts through a private, single-purpose link. Acceptance gives that person access to their own linked securities and documents; it does not grant access to the company-wide cap table or Glide’s bills, approvals, payroll, and other organization products.

  1. Review stakeholder names and email addresses before sending.
  2. Select the stakeholders who should receive access and send invitations.
  3. Ask each recipient to accept using the same email address associated with the invitation.
  4. Use the Team and Stakeholders views to monitor pending, accepted, revoked, and resend states.
  5. Confirm a sample holder sees only My equity, My securities, My documents, and Updates.

Carta migration questions

Can I upload only the cap-table report?
No. Glide requires all five workbooks because each report provides an independent view of the same company. Cross-report agreement is what makes the migration verifiable.
Can I edit a workbook to fix a mismatch?
No. Correct the underlying record in Carta and regenerate every report. Editing an export breaks source provenance and can cause reports to describe different cap tables.
Should I include draft securities?
No. Migrate finalized securities. Drafts may not appear consistently across the five reports and should be recreated or issued in Glide after the verified workspace is active.
What happens if the five reports disagree?
Glide rejects the complete bundle and creates no partial workspace. The error identifies the conflicting source fact so the administrator can resolve it and retry safely.
Does Glide preserve the original exports?
Yes. Glide privately archives the original workbook bytes and their hashes so the imported records can be traced back to the submitted source bundle.
Can stakeholders see the whole company cap table?
No. Equity admins see the complete workspace. Accepted holders see only their own linked equity, securities, documents, and published updates.
Can I migrate with a direct Carta connection instead?
The supported self-service path is the five-file XLSX upload. Direct Carta API access depends on Carta approving and provisioning Glide’s integration.
